CLIENT SERVICES AGREEMENT

1. Purpose
This agreement outlines the delivery of high-converting case studies and sales enablement assets designed to help your team build credibility, overcome objections, and close faster.
2. Discovery Call (Required First Step)
All engagements begin with a paid Discovery Call:

Fee: $400

Duration: 45–60 minutes

Outcome: Strategic clarity, messaging direction, and defined scope
Credit: If you proceed within 7 days, the $400 is applied to your project.
3. Services
AMS Case Studies (“Service Provider”) agrees to deliver case study and sales enablement services under its productized offerings (collectively, the “Services”). This Agreement applies to all packages and related deliverables offered by amscasestudies.com.
3.1 Productized Service Packages
The Client may engage the Service Provider under one of the following structured packages:
(a) Starter Proof Package
Includes:

One (1) short-form case study
-
Three (3) to five (5) sales-ready content snippets
-
One (1) structured customer interview
-
Up to two (2) revision rounds
(b) Flagship Proof System Package (Core Offer)
Includes:
-
One (1) flagship, long-form case study
-
One (1) short-form version for outreach and quick reference
-
Six (6) to ten (10) sales-ready snippets
-
One (1) sales battlecard for objection handling
-
One (1) structured customer interview
-
Up to two (2) revision rounds
(c) Authority System Package
Includes:
-
Two (2) to three (3) flagship case studies
-
Supporting sales enablement assets for each case study (including short-form versions, snippets, and battlecards)
-
Structured customer interviews for each case study
-
Up to two (2) revision rounds per case study
3.2 Scope and Deliverable Limits
To ensure quality, efficiency, and timely delivery, the following terms apply to all packages:

Each case study is based on one (1) primary customer interview, unless otherwise agreed in writing

Revision rounds are limited to two (2) per case study, covering reasonable edits and refinements
-
Additional revisions, interviews, or deliverables outside the defined package scope may be subject to additional fees
-
Deliverables are provided in agreed formats suitable for sales and marketing use (e.g., PDF, text-based assets)
3.3 Process
The Service Provider will follow a structured delivery process:

Case study selection and strategic alignment

Customer interview and information gathering
-
Draft development and narrative structuring
-
Client review and revisions
-
Final delivery of all agreed assets
3.4 Timeline
Project timelines will be agreed upon prior to commencement. Standard delivery timelines are typically 2–3 weeks per case study, depending on Client responsiveness and scheduling of interviews.
3.5 Client Responsibilities
The Client agrees to:

Provide timely access to selected customers for interviews

Review and provide feedback within a reasonable timeframe
-
Ensure accuracy of provided data, metrics, and claims
Delays in Client response or access may impact delivery timelines.
3.6 Additional Services
Any services or deliverables not explicitly listed within the selected package will be considered outside the scope of this Agreement and may require a separate agreement or written amendment.
4. Fast Action Incentive (Built for Momentum 🚀)
To prioritize your project and accelerate delivery:

5. Payment Terms
5.1 Fees
The Client agrees to pay the fees associated with the selected service package as outlined in the proposal or invoice (the “Fees”). All Fees are quoted in USD unless otherwise specified.
5.2 Payment Structure

Projects Under $12,000:
One hundred percent (100%) of the total Fee is due upfront to initiate the project. Work will not begin until full payment has been received. -
Projects $12,000 and Above:
Fifty percent (50%) of the total Fee is due upfront to initiate the project. The remaining fifty percent (50%) is due prior to final delivery of completed assets. -
Fast Action Incentive:
If the Client submits full payment within twenty-four (24) hours of proposal acceptance, the Client will receive one (1) bonus sales asset (e.g., additional snippets or an extended quote bank) at no additional cost.
5.3 Project Commencement
Project scheduling and timelines are only secured upon receipt of the required initial payment. No work will begin prior to payment.
5.4 Late Payments
Any outstanding balance not paid when due may result in:

Suspension of ongoing work
-
Delay in delivery of final assets
-
A late fee of 2% per month (or the maximum allowed by law, whichever is lower) applied to overdue amounts
5.5 Delivery of Final Assets
All final deliverables will be released only after full payment of all outstanding Fees has been received.
5.6 Additional Services
Any services requested outside the agreed scope of the selected package will require written approval and may be billed separately at the Service Provider’s standard rates or as a fixed additional fee.
5.7 Refund Policy
Due to the custom and strategic nature of the Services:

All payments are non-refundable once work has commenced

If the Client cancels the project after commencement, any payments made will be retained to cover time, resources, and work completed
5.8 Payment Methods
Payments may be made via approved methods as specified on the invoice (e.g., bank transfer, credit card, or other accepted payment platforms).
5.9 Proposal Expiration
All proposals, pricing, and project terms are valid for seven (7) calendar days from the date of issue, unless otherwise stated in writing.
If the proposal is not accepted and the required payment is not received within this period:

The proposal may be subject to revision, including changes to scope, timeline, and pricing

Project start dates and availability are not guaranteed
-
The Service Provider reserves the right to decline or reschedule the project
Acceptance of the proposal after the expiration period may require issuance of an updated proposal.

6. Turnaround & Timeline Control
Timeline begins only after ALL of the following:

Payment received

Discovery call completed
-
Required materials provided
Client delays (feedback, access, approvals) will extend delivery timelines accordingly.
6. Revisions & Scope Control
6.1 Included Revisions
Each case study includes up to two (2) revision rounds, as outlined in the selected service package.
A “revision round” is defined as a single, consolidated set of feedback submitted by the Client after reviewing a draft. Revisions are intended for refinement, clarification, and accuracy, not for substantial changes in direction.
6.2 Scope of Revisions
Revisions may include:

Minor edits to language, tone, and structure
-
Clarification or correction of factual information
-
Adjustments based on reasonable internal feedback
Revisions do not include:
-
Rewriting the case study from a new angle or strategy
-
Introducing new customer stories, data sets, or interview subjects
-
Significant changes to the approved narrative direction
-
Additional deliverables beyond those defined in the selected package
Requests falling outside this scope will be treated as additional work.
6.3 Additional Revisions
Any revision requests beyond the included two (2) rounds may be billed at an additional fee or require a revised scope agreement.
6.4 Feedback Timeline
To maintain project timelines, the Client agrees to provide feedback within three (3) business days of receiving each draft.
Delays in feedback may result in adjusted delivery timelines.
If no feedback is received within 5 business days, the work is considered approved
6.5 Approval & Finalization
Once the final revision round has been completed and the deliverables have been approved, the project will be considered finalized.
Any further changes requested after finalization may be treated as a new project or billed separately.
6.6 Scope Integrity
The Services are delivered as a structured, productized offering with clearly defined deliverables.
Any requests for additional interviews, expanded deliverables, or strategic changes beyond the agreed scope must be approved in writing and may incur additional fees.
7. Client Responsibilities
Client agrees to:

Provide accurate and complete information

Participate in interviews if required

Respond in a timely manner

Assign a single point of contact (recommended)
8. Scope Control
This agreement covers only the deliverables listed in Section 3.
Out-of-scope requests include:

Additional case studies
-
New messaging directions
-
Extra formats not listed
All additional work requires a separate quote and approval.
9. Intellectual Property

Full ownership transfers to the client upon final payment

AMS Case Studies may:

Use non-confidential work for portfolio/marketing
-
Reference results in anonymized form
-
10. Confidentiality
All client data, interviews, and materials are treated as confidential unless otherwise agreed.
11. Cancellation & Refunds

Discovery call is non-refundable
-
All project payments are non-refundable once work begins
-
If a project is paused or canceled:

Work completed to date remains billable
-
12. Limitation of Liability
AMS Case Studies provides strategy and content—not guaranteed results.
We are not liable for:

Sales performance outcomes
-
Revenue changes
-
Indirect business losses
13. Agreement
